THIS IS A BINDING LEGAL AGREEMENT BETWEEN YOU, AND BSO REAL ESTATE MANAGEMENT L.L.C S.O.C, ACTING FOR ITSELF AND, WHERE APPLICABLE, ON BEHALF OF ITS GROUP ENTITIES INCLUDING BSO CLUB PORTAL L.L.C AND BSO REAL ESTATE MANAGEMENT L.L.C S.P.C (COLLECTIVELY, “BSO”). YOU MUST READ AND ACCEPT THESE TERMS AND CONDITIONS IN THEIR ENTIRETY BEFORE USING BSO PAYMENT FACILITIES. IF YOU DO NOT AGREE TO OR CANNOT COMPLY WITH THE TERMS CONTAINED IN THIS AGREEMENT IN THEIR ENTIRETY, YOU ARE NOT AUTHORIZED TO USE BSO PAYMENT FACILITIES.

1. Agreement to the Terms

   • These terms and conditions (“Terms”) govern your access to and use of BSO web-based payment facilities (“BSO Payment Facilities”), are made available by BSO Real Estate Management L.L.C S.O.C, acting for itself and, where applicable, on behalf of its group entities, including BSO Club Portal L.L.C, facilitated by its affiliated service partners (“Facilitator(s)”): BSO Real Estate Management L.L.C S.P.C (together “BSO”, or “we”, or “us”, or “our”) and our payment gateway service providers (“Payment Provider(s)”): Emirates Telecommunication Group Company PJSC (“E&”), and/or Network International Payment Solutions (“NI”), and/or Stripe Inc (“Stripe”), and/or Direct Debit System FZ LLC (“DDS”), and/or PayBy Technology Projects LLC (“PayBy”) and/or any other payment service provider engaged by BSO from time to time. These Terms constitute a binding agreement between BSO and any person accessing, registering with, or using BSO Payment Facilities (“you” or “your”);

   • These Terms, together with the Privacy Policy and any applicable Service Agreements made available through the BSO Payment Facilities from time to time (including, without limitation, any applicable Master Services Agreement (“MSA”), Subscription Services Agreement(s) (“SSA”), On-Demand Services Agreement(s) (“OSA”), Orders, Advertising Permits, Subcontracting Permits, Particulars, Schedules, Appendices, Addenda, Undertakings, and any other documents expressly accepted and/or executed by you and/or applicable to your activities within the BSO ecosystem), govern your access to and use of the BSO Payment Facilities, including any content, functionality, communications, listings, transactions, service requests, payments and services offered to you. These Terms supersede any previous agreements you have previously signed and agreed to with BSO in relation to access to or use of the BSO Payment Facilities or any earlier portal-based, application-based, offline, or manual processes, unless expressly agreed otherwise in writing by BSO;

   • Please read these Terms before using the BSO Payment Facilities. Your access to and use of BSO Payment Facilities is conditioned on your acceptance and compliance with these Terms. By accessing and/or using BSO Payment Facilities, registering an account, or continuing to use the BSO Payment Facilities after any updates to these Terms, you agree to be bound by these Terms. If you disagree with any part(s) of these Terms, then you must not register any account or access the services provided through the BSO Payment Facilities.

2. ‍Access & Use of BSO PAYMENT FACILITIES

   • Your access to and use of the BSO Payment Facilities is entirely at your own risk. BSO Payment Facilities, including all content, functionality, communications, transactions, payment facilities, listings, service requests, and services made available through the BSO Payment Facilities, are provided on an “as is” and “as available” basis;

   • You acknowledge and agree that, to the fullest extent permitted by applicable law, BSO makes no representation, warranty, or guarantee of any kind, whether express, implied, statutory, or otherwise, regarding the accuracy, completeness, reliability, availability, fitness for a particular purpose, non-infringement, security, or uninterrupted operation of the BSO Payment Facilities or any content, functionality, communications, transactions, payment facilities, listings, service requests, or services made available through the BSO Payment Facilities;

   • You further acknowledge and agree that BSO does not represent, warrant, or guarantee that the BSO Payment Facilities, its servers, systems, software, content, functionality, communications, or services will be free from viruses, malware, harmful code, interruptions, delays, errors, defects, security vulnerabilities, or other components that may damage, interfere with, or adversely affect your devices, systems, software, data, or other property;

   • You acknowledge and agree that certain payment facilities, transactions, communications, services, and functionalities made available through the BSO Payment Facilities may be facilitated, processed, supported, or provided by Payment Provider(s), or other third-party service providers, and BSO shall not be responsible or liable for the availability, content, performance, policies, information collection practices, data processing activities, products, services, acts, omissions, or conduct of any such third parties;

   • You acknowledge and agree that the BSO Payment Facilities may contain links to, integrations with, or functionalities provided by third-party websites, platforms, systems, or service providers. Such third-party services are provided for convenience only and BSO does not endorse, control, assume responsibility for, or make any representation or warranty regarding the content, accuracy, availability, security, performance, or practices of any such third parties;

   • You represent and warrant that you possess the legal capacity required under applicable law to access and use the BSO Payment Facilities. Persons who are minors or otherwise lack legal capacity under applicable law shall not register an account, submit service requests, make payments, enter into transactions, or otherwise use the BSO Payment Facilities except as permitted under applicable law and under the supervision of a parent, guardian, or legally authorized representative.

3. Account Registration, Credentials & User Responsibility

   • In order to access certain functionalities, services, transactions, payment facilities, communications, or features made available through the BSO Payment Facilities, you may be required to register an account and provide certain information, documents, credentials, or other details as may be requested by BSO from time to time. You agree to provide accurate, complete, current, and up-to-date information and to promptly update any information previously provided through the BSO Payment Facilities to ensure its continued accuracy;

   • You acknowledge and agree that you are solely responsible for maintaining the confidentiality, security, and integrity of your account credentials, including any username, password, verification code, authentication method, or other access credential associated with your account. You shall take all reasonable measures to prevent unauthorized access to, use of, or activity through your account;

   • All instructions, requests, submissions, transactions, communications, activities, and other actions transmitted, submitted, initiated, approved, or otherwise performed through your account, credentials, or authentication methods shall be deemed to have been authorized by you and shall be binding upon you, whether or not such actions were undertaken by you personally. You acknowledge and agree that BSO may rely upon the use of your account credentials, authentication methods, and account activity as evidence of authorization, instruction, approval, communication, transaction, or other activity relating to your use of the BSO Payment Facilities;

   • You shall immediately notify BSO upon becoming aware of any actual or suspected unauthorized access to, use of, disclosure of, compromise of, or activity through your account, credentials, or authentication methods. BSO shall not be responsible or liable for any loss, damage, liability, cost, expense, transaction, instruction, communication, or activity arising from your failure to maintain the security or confidentiality of your account credentials or authentication methods;

   • BSO reserves the right, at any time and without liability, to suspend, restrict, deactivate, or terminate any account, access credential, or access to the BSO Payment Facilities where BSO reasonably believes that such action is necessary for security, operational, compliance, legal, regulatory, fraud prevention, risk management, or platform integrity purposes.

4. PAYMENT, FEES & CHARGES

   • BSO Payment Facilities may facilitate payments, collections, subscriptions, service fees, charges, deposits, or other amounts in connection with services, transactions, service requests, listings, subscriptions, or other activities made available through the BSO Payment Facilities. Any such payments may be facilitated, processed, collected, or supported by Payment Provider(s) or other third-party service providers engaged by BSO from time to time;

   • You acknowledge and agree that any payment submitted through the BSO Payment Facilities constitutes your authorization for the relevant payment amount to be charged, processed, collected, or otherwise dealt with in accordance with the applicable service request, transaction, subscription, invoice, quotation, order, agreement, or other applicable arrangement;

   • BSO does not store your complete credit card, debit card, banking, or payment instrument details. Payment information submitted through the BSO Payment Facilities may be collected, processed, stored, transmitted, or otherwise handled by the applicable Payment Provider(s) in accordance with their respective terms, conditions, privacy policies, security requirements, and operational procedures;

   • You acknowledge and agree that BSO shall not be responsible or liable for any failure, delay, interruption, rejection, reversal, suspension, chargeback, unauthorized transaction, processing error, banking issue, payment gateway issue, or other payment-related event arising from or attributable to any Payment Provider(s), financial institution(s), card issuer(s), banking system(s), payment network(s), or third-party service provider(s);

   • Fees, charges, pricing, subscriptions, commissions, service fees, transaction fees, processing fees, and other amounts applicable to any service, transaction, subscription, listing, service request, or activity may vary from time to time and shall be displayed, communicated, quoted, invoiced, agreed, or otherwise made available through the BSO Payment Facilities or the applicable Service Agreement(s). You remain solely responsible for ensuring that all applicable fees, charges, subscriptions, service fees, invoices, and other amounts payable in connection with your use of the BSO Payment Facilities or any services made available through the BSO Payment Facilities are paid in full when due;

   • Where payments are made using a payment instrument issued outside the United Arab Emirates, any currency conversion, foreign exchange charges, banking fees, processing charges, or other related costs shall be determined by and remain the responsibility of the applicable financial institution, card issuer, payment provider, or banking service provider.

5. REFUND & CANCELLATION POLICY
   ‍‍
   
   • You acknowledge and agree that all fees, charges, subscriptions, service fees, commissions, deposits, processing fees, transaction fees, and any other amounts paid through or in connection with the BSO Payment Facilities are final and non-refundable;
     ‍
   • Without prejudice to the generality of Clause 5.1, and unless expressly stated otherwise by BSO in writing, no refund, credit, adjustment, reversal, set-off, reimbursement, or repayment shall be provided in respect of any payment made through or in connection with the BSO Payment Facilities, whether such payment relates to a subscription, service request, listing, transaction, service, fee, charge, commission, deposit, processing fee, or any other amount;

   • You further acknowledge and agree that any cancellation, suspension, termination, withdrawal, discontinuation, non-use, inability to use, cessation of access to the BSO Payment Facilities, or decision not to proceed with any subscription, service request, transaction, listing, service, communication, functionality, or activity made available through the BSO Payment Facilities shall not entitle you to any refund, reimbursement, repayment, credit, adjustment, or compensation of any kind unless expressly approved by BSO in writing.

6. LIMITATION OF LIABILITY
   ‍
   ‍In no event will BSO or its’ employees be liable for any incidental, indirect, special, punitive, exemplary or consequential damages, arising out of your use of or inability to use BSO Payment Facilities, including without limitation, loss of revenue or anticipated profits, loss of goodwill, loss of business, loss of data, computer failure or malfunction or any other damages.

7. INDEMNIFICATION
   ‍
   ‍You acknowledge and agree that you shall indemnify, defend, and hold harmless BSO, its group entities, Facilitator(s), Payment Provider(s), affiliates, directors, officers, employees, representatives, agents, contractors, licensors, service providers, and partners from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, costs, expenses, penalties, fines, and reasonable legal fees arising out of or in connection with your access to, use of, misuse of, inability to use, or activities conducted through the BSO Payment Facilities, your breach of these Terms, your violation of any applicable law, regulation, or third-party right, or any information, communication, transaction, service request, payment, instruction, content, or material submitted, transmitted, uploaded, or otherwise provided by you through the BSO Payment Facilities.

8. ‍PRIVACY & DATA PROTECTION
   ‍‍
   You acknowledge and agree that BSO may collect, use, process, store, disclose, transfer, and otherwise handle your personal information, account information, transaction information, payment-related information, communications, and other data in connection with your access to and use of the BSO Payment Facilities in accordance with the Privacy Policy, applicable laws, and BSO’s operational requirements from time to time. By accessing or using the BSO Payment Facilities, you acknowledge that you have read, understood, and accepted the Privacy Policy, as may be amended from time to time, and consent to the collection, use, processing, storage, disclosure, and transfer of your information as described therein.

9. Changes to Our Terms
   ‍
   We reserve the right to change these Terms at any time by notifying you of any changes via BSO Payment Facilities and/or email. Your continued use of BSO Payment Facilities, services, and products after any change to these Terms, and your receipt of these changes, will constitute your acceptance. If you do not agree with the changes to these Terms, you can choose to discontinue the use of BSO Payment Facilities, services, and products.

10. Governing Law & Jurisdiction
    ‍‍
    These Terms and any dispute or claims arising out of, or in connection with it, its subject matter or formation (including non-contractual disputes or claims) shall be governed by, and construed in accordance with the laws of the Dubai International Financial Centre (“DIFC”), specifically the Small Claims Tribunal, and the DIFC Courts shall have exclusive jurisdiction in relation to it.
